International Sales Agency Agreement


Summary

This template is an international sales agency agreement providing for the appointment of an independent sales agent who will assist in the promotion and sale of a supplier/manufacturer's products in a designated foreign territory. This document includes practical guidance, drafting notes, and alternate and optional clauses. An independent sales agent sells goods or services to customers on behalf of a supplier, manufacturer, reseller, or distributor for a profit. Unlike distributors and resellers, sales agents do not take title to or possession of the goods in question and therefore, do not bear inventory risk, risk of loss, or customer credit risk. The agreement sets forth the general terms and conditions that will govern the parties' relationship, including their respective rights and responsibilities. It also provides guidance with respect to the laws affecting the activities contemplated by the parties, particularly those applicable to member states of the European Union (EU). This template is industry neutral and as such, may require modification to comply with applicable industry laws.
