Summary

This practice note may be used to prepare a presentation discussing insider trading laws applicable to directors, officers, and employees of a company. In particular, the presentation addresses the types of actions that constitute insider trading, the penalties for insider trading, the provisions contained in a typical insider trading policy, and insider reporting requirements. This presentation is tailored to Ontario securities laws but can be adapted to suit other jurisdictions as well.
