Infrastructure as a Service (IaaS) Agreement

Summary
This template is an infrastructure as a service (IaaS) agreement in which computing resources are supplied by a cloud services provider. Access to the infrastructure is provided over the internet, allowing customers use of the services for a fee. This template includes practical guidance and drafting notes. IaaS is a cloud computing service in which computing resources such as storage, network, servers and virtualization are supplied by a cloud services provider. Customers access this infrastructure over the internet and pay a fee for its use. It is important for counsel to recognize that IaaS agreements carry similar risks to other forms of outsourcing, such as service continuity, customer data protection, and compliance with privacy laws. Therefore, careful negotiation of IaaS agreements is strongly recommended to ensure a balanced allocation of risk.
