After accepting plaintiff's bid to purchase a petrochemical, defendant sent plaintiff contract documents providing that New York law would govern the contract. Plaintiff modified the documents by setting forth that Singapore law would govern. Plaintiff also provided that there would be no contract unless defendant signed plaintiff's version of the contract. In a breach of contract action filed by plaintiff, the court held that the parties did not form a contract under the United Nations Convention on Contracts for the International Sale of Goods because they did not agree to a choice of law.
