Goods Donation Agreement

Summary

This goods donation agreement can be used by a business making an in-kind donation of goods to another entity (including a nonprofit). This template includes practical guidance, drafting notes, and optional clauses. This template is drafted in favor of the donor entity and includes standard provisions for contracts of a similar nature, including a goods pick-up provision, appropriate representations and warranties, indemnification, and confidentiality clauses. It also includes optional bracketed (and sometimes bolded) language that can be added when the recipient is an Internal Revenue Code § 501(c)(3) nonprofit, charitable organization and/or when the goods are comprised of hazardous materials.
