Summary

This practice note addresses fundamental changes to companies under the British Columbia Business Corporations Act, S.B.C. 2002, c. 57 (BCBCA). It describes the requirements and procedures for altering a company's notice of articles, as well as the purpose and procedure for a class vote. This practice note also addresses amalgamation, continuance both into and out of British Columbia, sale of all or substantially all corporate property, and the concept of shareholder dissent.
