Form 8-K is used by reporting companies to disclose certain specified material events on a more current basis than its annual and quarterly reports. There are certain types of material events set forth in the instructions to the Form 8-K that trigger a reporting company's obligation to file. Some events may also be voluntarily disclosed by the company, should they deem that they are material to shareholders.
