Summary

This checklist sets forth the requirements and steps to be taken for conversions among organization types in Delaware. This checklist addresses the following conversions: (1) a Delaware corporation to convert into a Delaware limited liability company (LLC) (and a Delaware LLC to convert into a Delaware corporation), (2) a Delaware limited partnership (LP) or limited liability limited partnership (LLLP) to convert into a Delaware corporation (and a Delaware corporation to convert into a Delaware LP or LLLP), (3) a Delaware LLC to convert into a Delaware LP or LLLP (and a Delaware LP or LLLP to convert into a Delaware LLC), (5) a Delaware corporation to convert into a Delaware LP or LLLP (and a Delaware LP or LLLP to convert into a Delaware corporation), and (6) a Delaware general partnership (GP) or limited liability partnership (LLP) to convert into a Delaware corporation, LLC, LP, or LLLP (and a Delaware corporation, LLC, LP, or LLLP to convert into a Delaware GP or LLP).
