Fee Letter


Summary

This template is a fee letter by a bank setting forth a borrower's responsibilities to pay certain fees to the banks providing commitments to the borrower. This template includes practical guidance, drafting notes, and alternate and optional clauses. This template fee letter is commonly used in syndicated leveraged loans and assumes the following: • There is one lead arranger and an administrative agent acting for multiple lenders (although alternative clauses have been included to provide for multiple arrangers). • This fee letter is to be used with a commitment letter for an acquisition financing involving a private equity sponsor. See Commitment Letter (Fully Underwritten Commitment). Note that the parties, type of financing, and other factors relevant to each transaction will require modifications to this template.
