Summary

This representation letter template may be used to establish the basis upon which the investor qualifies as an “accredited investor” under Rule 501(a) of Regulation D. Offerings made in reliance on Rule 506 of Regulation D limit the number of non-accredited investors that may participate in the offering. This template includes practical guidance and drafting notes.
