Exchange Offer (M&A Glossary)

Summary

An offer in which the buyer offers, as part or all of the consideration, its shares in exchange for shares of the target. When one of the parties in an exchange offer is a public company, securities laws requiring registration of the company’s shares and/or tender offer disclosures by the buyer may be triggered.
