Equipment Donation Agreement

Summary

This equipment donation agreement can be used by a business making an in-kind donation of equipment to another entity. This template is jurisdiction and industry neutral. This template includes practical guidance and drafting notes. This template is drafted in favor of the business as donor and includes standard provisions for contracts of a similar nature, including an equipment pick up provision, and appropriate representations and warranties, indemnification, and confidentiality clauses. It also includes optional, bolded and bracketed language that can be added when the recipient is an Internal Revenue Code, Section 501(c)(3) non-profit, charitable organization and/or when the equipment is comprised of hazardous materials in any way.
