Summary

This practice note may be used to prepare a presentation to help train human resources professionals and/or non-employee benefits attorneys involved with corporate transactions concerning common employee benefits and executive compensation issues and risks that may arise in corporate transactions. The presentation assumes that the audience has a general understanding of the most common types of corporate transactions and of the general corporate transaction process. Except as specifically noted, this presentation does not address non-U.S. employee benefits and compensation issues in corporate transactions or integration issues following the closing of a corporate transaction.
