Summary
This electronic signature clause may be used in a commercial contract, governed by Massachusetts law, to allow for electronic signatures or execution by other electronic means. This template includes practical guidance and drafting notes. The manner of doing business has changed dramatically over the years, especially with the growth of e-commerce, which has entailed significant changes in the manner that parties sign their contracts. The federal government, along with most states, through the Uniform Electronic Transactions Act, has provided that e-signatures are sufficient to authenticate a contract. This clause makes clear the parties' intent regarding electronic execution, that e-signatures have the same legal effect as handwritten signatures.
