ESG Committee Charter

Summary

This template ESG committee charter sets forth the role and responsibilities of an ESG committee of the board of directors of a public company. Although there is no requirement for a company to form an ESG committee, many public companies do so to demonstrate to investors their commitment to ESG issues. This template includes practical guidance and drafting notes. You should add, delete, or edit the provisions of this template to fit the Company's bylaws, applicable laws and regulations, industry, and other relevant circumstances. For information relating to other board committees, see Audit Committee Resource Kit, Compensation Committee Resource Kit, Nominating and Corporate Governance Committee Charter (SEC, NYSE, and Nasdaq compliant), and NYSE and Nasdaq Board of Directors and Committee Governance Requirements Under Sarbanes-Oxley and Dodd-Frank. For additional ESG-related materials, see the Environmental, Social, and Governance (ESG) Resource Kit.
