This template may be used when reviewing a target company's material intellectual property (IP) license agreements as part of a due diligence investigation conducted in the course of a merger or acquisition. Using this template enables the buyer's counsel to more efficiently digest and summarize the relevant provisions of a contract without having to copy the language of the provisions verbatim. You should complete a template for each license agreement that you review during the due diligence process. While this template lists license agreement terms that are commonly of interest, you should tailor the template to account for the specific facts and circumstances of the proposed arrangement.
