Summary

The due diligence investigation is a labor-intensive task. The seller and its counsel must collect information and documents about the target company and provide them to the buyer and its counsel, who will, with the assistance of specialists, review the materials and report their findings back to the buyer. There are, however, a few tools commonly deployed to help keep the process as focused and efficient as possible. These include the confidentiality agreement, due diligence request list, electronic data room (or VDR), public records searches, and third-party reports.
