This practice note discusses terms and issues that should be addressed when drafting a manufacturing and supply agreement. When a buyer acquires commercial goods produced and supplied by a manufacturer, both parties to the transaction will want to memorialize their respective rights and obligations, and fully and accurately establish how and under what terms the goods will be produced and sold to the buyer, in an agreement.
