Domestic Transfer Agreement and PSA
Summary
This transfer agreement template is to be used when an investor transfers interests in a private equity fund to another investor, affiliated entity, or third party. This template contains practical guidance and drafting notes. Unlike mutual, hedge, or exchange-traded funds, private equity funds offer no liquidity to investors until investments are realized, which may take many years. The ability to transfer interests in a fund is an important means for investors to achieve some liquidity, change their investment focus and portfolio, and/or divest assets that may no longer be appropriate.
