Summary
This director's resignation letter (merger) template is for use by a director of a corporation who is resigning as a result of a merger. It includes practical guidance and drafting notes. A merger transaction can take a number of different forms, such as a forward merger, a reverse merger, or a reverse triangular merger. In some cases, the target corporation survives the merger. In others, the target corporation is merged into another entity. However, in either case, it is typical that the transaction will contemplate that some or all the directors of the target corporation's board will cease to remain on the target's board after the merger is complete. The Agreement and Plan of Merger will sometimes specifically call for the resignation of the entire target's board or certain specified members of the board.
