Director Affidavit (Voluntary Dissolution) (BC Societies Act)


Summary

This precedent is an affidavit for a director that is required in order for a British Columbia society to apply for a voluntary dissolution under the British Columbia Societies Act, S.B.C. 2015, c. 18 ("BCSA"). This precedent includes practical guidance, alternate clauses and drafting notes. Voluntary dissolution without liquidation is the most common form of dissolution. This procedure would apply where a society either has no liabilities or is able to arrange payment for its liabilities (either using its remaining assets or by a third party agreeing to pay those liabilities). To dissolve a society without liquidation, the society can file a dissolution by request application with the registrar for a voluntary dissolution without liquidation (BCSA, s. 126(1)).
