Direction Re Title (Corporate Purchaser)


Summary

This precedent provides a "Direction Re Title" from the Purchaser to the Vendor directing the Vendor how to engross and name the corporate purchaser on all title documents, including the electronic Transfer/Deed of Land to be registered at Closing. It provides certainty about the name to appear on title to the property after closing and directs the Vendor and the Vendor's lawyer as to the correct spelling of the name. This precedent contains practical guidance and drafting notes. In the absence of a Direction Re Title, a Vendor (via their lawyer) might be justified in using the Purchaser's name as referenced in the Agreement of Purchase and Sale. This would present a problem for the Purchaser if they used a different name in the Agreement and otherwise wanted title to appear some other way on title.
