Delivery of Goods


Summary

This practice note discusses delivery provisions in sale of goods transactions governed by Article 2 of the Uniform Commercial Code (UCC). The practice note addresses, among other things, the seller's obligations to tender delivery of goods, including the timing, manner, and location of delivery; as well as the buyer's responsibilities with respect to taking delivery, including the buyer's inspection rights, acceptance, and rejection and repudiation of acceptance of nonconforming goods. It also provides guidance on how the UCC default provisions can be modified pursuant to the parties' sales agreement, as well as discussing destination contracts, shipment contracts, and shipping terms including free-on-board and ex-works.
