Summary
This confidentiality clause is a short form version and may be used in a commercial agreement governed by Colorado law. This template includes practical guidance and drafting notes. A confidentiality clause should include terms establishing the receiving party's obligations to safeguard confidential information, how the receiving party may use the information, and to whom it may be disclosed. The disclosing party will want dissemination of confidential materials limited to only those persons associated with the recipient who require access to carry out the purpose of the agreement. This template provides basic terms for the confidentiality of information exchanged between parties to a contract.
