Summary

This template Confidentiality Agreement (with Inventions Assignment) (CT), drafted for Connecticut law, is between a company and new hire and contains confidential and proprietary information provisions commonly found in confidential information and non-disclosure agreements and invention assignment agreements. The confidentiality provisions contain an acknowledgment by the employee of the confidential nature of the company's proprietary information, including technical information (such as know-how, processes, and designs) and business information (such as business plans, financial data and supplier, and customer information). The employee covenants, during and after employment, to keep this information confidential. The employee also agrees to the assignment to the company of any inventions he or she creates in connection with the employee's employment along with accompanying intellectual property rights. Excluded from the scope of the assignment are inventions created prior to the employment, which should be set forth explicitly (see Exhibit of the template).
