Summary
This template is a unilateral confidentiality agreement between a company and a consultant. This template includes practical guidance, drafting notes, and alternate and optional clauses. In this template, the parties agree that in connection with the consultant's retention, he or she will learn and be exposed to information that the company considers confidential and must be kept confidential. Because consultants are hired for all types of reasons, certain portions of the agreement may be customized, such as the purpose of the agreement and the description of confidential information. However, for the sake of uniformity and enforcement, other portions of the agreement should correspond with confidentiality obligations of other consultants and employees of the company, such as the non-disclosure clause and the requirement to return information.
