Summary
This floating reciprocal choice of forum clause template, or floating reciprocal forum selection clause, can be used in a commercial contract, governed by Michigan law, to require that any suit be initiated in a jurisdiction and venue based on the location of the headquarters of the party being sued. This template includes practical guidance and drafting notes. Choice of forum clauses determine the location where a dispute will be resolved. They may be either mandatory or permissive. A mandatory clause is one that requires that the courts of a particular jurisdiction have exclusive jurisdiction. This template is a mandatory floating reciprocal forum selection clause. It provides that a suit shall only be filed in the federal or state court in which the headquarters of the party being sued is located.
