Change Control Procedure Clause (Outsourcing)
Summary
This clause is a change control procedure that sets out the process by which any change is agreed-upon by the parties as set out in an outsourcing agreement. Due to the duration and complexity of most outsourcing agreements, change is inevitable and must be carefully managed. The provisions governing change in the agreement are to be set out in this change control procedure clause. This clause includes practical guidance and drafting notes. A distinction is usually drawn between day-to-day operational changes (for example, a minor alteration in the manner in which the services are provided) and more significant changes that require formal assessment. This clause permits operational changes to be made without reference to the formal change control procedure through a separate "change management process" which is intended to be set out in the procedures manual.
