Summary
This Certificate of Guarantor template is used in conjunction with a promissory note secured by real property in which the guarantor of the borrower's payment and performance under the loan and security documentation is a corporate entity and validates certain actions undertaken or to be undertaken by the guarantor. This template includes practical guidance and drafting notes. This template incorporates California law. The certificate of guarantor provides assurances to the lender that the corporate actions undertaken in conjunction with the borrowing activity by guarantor are valid, authorized, legal, and binding actions of the corporate entity guarantor, such as the execution of the guaranty of payment and performance by borrower under the loan and security documentation.
