Summary
This Certificate of Formation (NJ LLC) template may be adopted by a New Jersey limited liability company (LLC) as its formation document and filed with the New Jersey Division of Revenue and Enterprise Services to organize the LLC. This template includes practical guidance, drafting notes, and an optional clause. This template contains the information required by the New Jersey Revised Uniform Limited Liability Company Act for a certificate of formation. Pursuant to N.J. Stat. § 42:2C-18(b), the certificate of formation must include the name of the LLC, the street and mailing address of the initial registered office, and the name of the initial agent at that office for service of process of the LLC. In addition, if the LLC will have a delayed effective date, the date must be stated in the certificate. See N.J. Stat. § 42:2C-18(d). The certificate of formation may also include other statements that are not inconsistent with law. However, a statement in a certificate of formation is not effective as a statement of authority.
