Certificate of Change: Change of Address

Summary

This Certificate of Change of Address (by Agent) (NY) template can be submitted to the secretary of state by a New York corporation's registered agent to change the registered address of the corporation. This template includes practical guidance and drafting notes. A New York corporation may make amendments to its certificate of incorporation from time to time so long as the amendment contains provisions that could lawfully be contained in an original certificate of incorporation filed at the time of such amendment. N.Y. Bus. Corp. Law § 801. While most amendments or changes to the certificate of incorporation require both board and shareholder approval, certain changes (including a change of the location of the corporation's office) can be authorized solely by the board. N.Y. Bus. Corp. Law § 803(b)(1). To change the location of a corporation's address, a signed certificate of change must be filed with the New York Department of State. The certificate of change must include (1) the name of the corporation, (2) the date its certificate of incorporation was filed by the department of state, (3) each change effected by the certificate, and (4) the manner in which the change was authorized. N.Y. Bus. Corp. Law § 805-A. A filing fee must also be submitted with the certificate of change. This template is premised on the certificate of change being filed by the corporation's registered agent.
