Summary
This certificate of borrower (limited liability company) is a form of officer's certificate delivered by a borrower (that is organized as a limited liability company) to the lender at the closing of an acquisition loan transaction. This template includes practical guidance and drafting notes. The borrower's organizational documents, resolutions authorizing the acquisition and financing transaction, and good standing certificates are attached as exhibits to the certificate. This certificate template includes a certificate of incumbency that certifies the names, titles, and signatures of the representatives of the borrower who have authority to execute binding agreements on behalf of such entity. Any member, manager, or duly authorized officer (typically the secretary) of the borrower may execute this certificate.
