Summary
This is a template of bylaws for use by a New Jersey not-for-profit corporation. The template addresses, among other things, members and membership, meetings, voting, and board actions. This template includes practical guidance, drafting notes, and alternate clauses. Bylaws are rules that provide a general guideline for how a company will be structured and operated and are drafted during the initial stages when a company is being incorporated. The initial bylaws of a corporation must be adopted by the board at its organization meeting. N.J. Stat. § 15A:2-10(a). The initial bylaws of a corporation adopted by the board at its organization meeting will be deemed to have been adopted by the members if the certificate of incorporation provides for members. N.J.
