Summary
This template is a standard set of by-laws for a Florida not-for-profit corporation. This template includes practical guidance, drafting notes, and an alternate clause. Florida law affords considerable flexibility in the operational structure of not-for-profit corporations, allowing many if not most of the provisions herein to be modified to reflect the interests of the enterprise. Perhaps most fundamentally, Florida not-for-profit corporations may, but are not required to, have "members" and such members, if any, can be of one or more classes, each with varying rights (e.g., voting). Accordingly, a thoughtful review of Chapter 617 is appropriate in connection with conferring with the not-for-profit corporation and in drafting the by-laws.
