Summary

This business continuity clause is for use between a supplier and a customer in a supply of services agreement and is drafted in favour of the customer. A business continuity clause may also be referred to as a disaster recovery clause. This business continuity clause places an obligation upon the supplier to create, implement and maintain a business continuity plan providing for the ongoing supply of services upon the occurrence of a disaster or business continuity event. This clause includes practical guidance and drafting notes. All services are at risk of being impacted by a catastrophe or failure. Such failures could result from human, natural or technological factors.
