Boslow Family Limited Partnership, Appellant, v Glickenhaus & Co., Respondent., 7 N.Y.3d 664
Summary
Upon a review of the record, it was undisputed that the partnership had not complied with the Partnership Law's mandatory formation requirements at the time it entered into the agreement and commenced its suit. However, the firm did not dispute that it derived a benefit from the agreement and that the investment services provided were not dependent in any way on the nature of the partnership's status as a limited partnership. Hence, the firm was estopped from denying the partnership's validity. As a result, the instant court did not address the partnership's argument that it should be afforded a de facto limited partnership status.
