Summary

This boilerplate clauses template is an abbreviated selection of clauses that may be used in commercial agreements of all kinds. Such clauses are incorporated in most contracts, generally towards the end of the agreement. They are non-deal specific provisions that support enforcement of the agreement. This template includes practical guidance and drafting notes. These boilerplate clauses are jurisdiction and industry neutral and as such, require modification to comply with applicable state and industry laws. They are intended for use between two U.S. entities entering into an agreement which anticipates domestic performance. Cross-border agreements require that additional attention be paid to international laws, rules, and customs and as such, these clauses would require modification for any such use.
