Board and Shareholder Resolutions (Post-amalgamation) (CBCA)
Summary
These precedents are resolutions of the directors and shareholders once articles of amalgamation have been filed under the Canada Business Corporations Act, R.S.C. 1985, c. C-44 (the "CBCA"). After an amalgamation, it is necessary for certain matters to be resolved by the new amalgamated corporation, which include matters relating to officers, by-laws, shares and share certificates, directors, auditors and financial statements.
