Board Resolutions (Post-Amalgamation) (OBCA)
Summary
This precedent includes resolutions of the directors which are formalized once Articles of Amalgamation have been filed under the Ontario Business Corporations Act. After an amalgamation, it is necessary for certain matters to be resolved by the new amalgamated corporation, which include matters relating to corporate records, by-laws, share certificates, issued capital and the appointment of officers — Stephen Kerr, Fasken.
