Summary

This precedent contains written directors' resolutions to change the registered office of a society under the British Columbia Societies Act, S.B.C. 2015, c. 18 ("BCSA"). This precedent includes practical guidance, an optional clause and drafting notes. A society under the BCSA, must maintain a registered office in British Columbia. A society may change the address of its registered office from time to time. If appointing a law firm as the registered office agent and/or if some records will be stored at a location other than the registered office, this should be noted in the resolution. The directors must sign the resolutions and deposit them with the society's corporate records. The society must also notify the Registrar of Companies of the change through Societies Online.
