Summary
This template is an engagement letter formalizing an attorney-client relationship for a civil matter in Georgia with a contingency fee arrangement. This template is tailored for a corporate client, with options to customize it for an individual client or a modified fee arrangement. This retainer letter includes practical guidance, drafting notes, and alternate and optional clauses. Engagement letters are not required by the Georgia Rules of Professional Conduct; however, most insurance carriers require engagement (and non-engagement) letters, and clients expect to sign one. At a minimum, the Georgia Rules of Professional Conduct require you to communicate the fee arrangement, preferably in writing, to the client at the time of your engagement. Ga. R. & Regs. St. Bar 1.5(b). In addition to the fee arrangement, an engagement letter should identify the client and describe the intended scope of the contemplated legal work.
