Summary
This assignment and delegation of duties clause also known as an anti-assignment clause may be used in a commercial agreement governed by Missouri law. This clause limits the ability of a party to assign its rights or delegate its duties provided under the contract. This template includes practical guidance and drafting notes. Contract rights are generally assignable unless there is a contrary statute, agreement, or the assignment would materially increase the risk or change the duty of the obligor. To preclude an effective assignment, an anti-assignment clause must clearly state that the power to assign has been surrendered so that any attempted assignment will be null and void.
