Summary
This template for articles of organization may be adopted by a Wisconsin limited liability company (LLC) as its formation document, which is filed with the Wisconsin Department of Financial Institutions (Department), to organize the LLC. This template includes practical guidance, drafting notes, and an optional clause. This template contains the information required by the Wisconsin Uniform Limited Liability Company Law (the Act) for articles of organization. Pursuant to Wis. Stat. Ann. § 183.0201(2), the articles of organization must include: • A statement that the LLC is organized under the Act • The name of the LLC • The street and mailing addresses of the LLC's principal office • The name, street address, mailing address, and e-mail address of the initial registered agent of the LLC • The name and address of each organizer • If applicable, the delayed effective date and time of the articles of organization • Additional statements as may be provided pursuant to Wis. Stat. Ann. § 183.0201(3). The articles of organization must be filed with the Department to be effective.
