Summary
This template Articles of Organization (TN LLC) may be adopted by a Tennessee limited liability company (LLC) as its formation document and filed with the Tennessee Secretary of State. This template includes practical guidance, optional clauses and drafting notes. This template contains the information required by the Tennessee Revised Limited Liability Company Act for the formation of LLCs. It also includes optional clauses that, while not required to organize a valid LLC in Tennessee, are often included in a Tennessee LLC's articles of organization. This template should not be used for a Tennessee professional limited liability company. Tenn. Code Ann. § 48-249-202(a) outlines information required in an LLC's the articles of organization. Tennessee Senate Bill 1754 amended this section in June 2020 to include "any additional information as required by the secretary of state."
