Summary

This template Articles of Organization may be adopted by a South Carolina limited liability company (LLC) as its formation document and filed with the South Carolina Secretary of State. This template includes practical guidance, drafting notes, alternate and optional clauses. This template contains the information required by the South Carolina Uniform Limited Liability Company Act of 1996 (S.C. Code Ann. § 33-44-101 et seq.) (the "Act") for the formation of LLCs. S.C. Code Ann. § 33-44-203(a) outlines information which must be set forth in the LLC's articles of organization. The articles may also set forth other provisions not inconsistent with law. S.C. Code Ann. § 33-44-203(b). An LLC may file the articles of organization by mail or electronically through the South Carolina Secretary of State's Corporation Search, Filing, and Document Retrieval System.
