Summary
This Articles of Organization (FL LLC) template may be used by a Florida limited liability company (LLC) and adopted as its formation document to be filed with the Florida Department of State, Division of Corporations. This template includes practical guidance, drafting notes, and optional clauses. This template contains the information required by the Florida Revised Limited Liability Act (RLLA) for articles of organization. It should not be used to for a professional limited liability company. Pursuant to Fla. Stat. Ann. § 605.0201, the articles of organization must include: • The name of the LLC • The street and mailing address of the LLC's principal place of business • The name, street address in Florida, and written acceptance of the LLC's initial registered agent The articles of organization may also include any other provision, not inconsistent with law, that the members elect to set out in the articles of organization, including the following provisions: • A declaration as to whether the limited liability company is manager-managed for purposes of Fla. Stat. Ann. § 605.0407 and other relevant provisions of the RLLA • For a manager-managed limited liability company, the names and addresses of one or more of the managers of the company • For a member-managed limited liability company, the names and addresses of one or more of the members of the company • A description of the authority or limitation on the authority of a specific person in the company or a person holding a position or having a specified status in the company See Fla.
