Summary

This template Articles of Incorporation (VA) may be adopted by a Virginia corporation and filed with the Virginia State Corporation Commission. This template includes practical guidance, drafting notes, an alternate clause, and optional clauses. This template contains provisions required by the Virginia Stock Corporation Act for the formation of for-profit corporations as set forth in Va. Code Ann. § 13.1-619(A). Also included are certain provisions that are not required but permitted to be included in the articles of incorporation. A corporation may file the articles of incorporation by mail (State Corporation Commission Clerk’s Office PO Box 1197 Richmond, VA 23218-1197) or electronically through the Clerk’s Information System. The filing fee is $25, and the charter fee depends on the number of authorized shares. For 1,000,000 or fewer authorized shares, there is a $50 fee for each 25,000 shares; for more than 1,000,000 shares, the charter fee is $2,500. Va. Code Ann. § 13.1-615.1(A). The articles of incorporation must be typewritten, in English, printed in black, on one side of an 8 1/2” x 11” solid white paper with no visible watermarks/background logos, and minimum margins of 1.25” on top and 0.75” on all other sides.
