Antitrust Extension of Outside Date

Summary

This clause provides language that parties can use to extend the Outside Date if the antitrust condition has not been satisfied as of the original outside date. The outside date is sometimes colloquially referred to as the "drop dead date" and is often called the End Date in the transaction agreement. This clause contains practical guidance and drafting notes. For more information on how to use this clause and negotiate it, see the Antitrust Clauses in M&A Agreements Resource Kit.
