Alterable and Unalterable Provisions from Constitution (BC Societies Act)
Summary
This practice note explains how to treat the “unalterable provisions” that were in the constitution of a society incorporated under the old Society Act. “Unalterable provisions” are those provisions other than the name and purposes of the society that are indicated as such in its constitution. When transitioning a society to the new Societies Act, these provisions may no longer be unalterable and must be moved to the society’s bylaws — Sarah Fitzpatrick, Miller Thomson LLP.
