Summary

This Affidavit of Publication (NY LLC) template is for use by a New York limited liability company (“LLC”) and is made by the publisher of a New York newspaper to establish proof of publication by an LLC of a required notice. This template includes practical guidance and drafting notes. LLCs are required to publish notice of certain events, such as its formation after its articles of organization become effective or after a partnership converts to an LLC, for which notice must be published over a period of time after the relevant event and only in certain designated daily and weekly newspapers. The LLC must file a certification of publication with the New York Department of State. The filing requires an affidavit from the subject newspapers confirming that the notice was properly published as required by law. This affidavit would be annexed to an LLC’s certification of publication and can be modified to reflect the actual notice published with the affiant’s newspaper.
